7. Privacy Policy
7.1 Data Collection

Transaction data (bookings, payments, service history).

7.2 Data Use
We use data to:
Facilitate bookings and provider listings.
Verify identities and prevent fraud.
Improve platform functionality and user experience.

Data may be shared with providers to fulfil bookings.
Data may be shared with payment processors, insurers, or regulators where required.

DROPSHIP PARTNERSHIP AGREEMENT
This Dropship Partnership Agreement (“Agreement”) is made and entered into on [Date], by and between:
Yede Plaza (PTY) Ltd, a private company incorporated under the laws of the Republic of South Africa, with its principal place of business at [Insert Address] (“Marketplace” or “Yede Plaza”),
AND
A Legal Entity incorporated under the laws of South Africa
Collectively referred to as the “Parties”.
1. Purpose
The purpose of this Agreement is to set forth the terms under which the Supplier will sell and ship products directly to customers of the Marketplace through a dropshipping arrangement. Yede Plaza will market the Supplier’s products on its platform.
2. Product Listing and Pricing
The Supplier shall provide Yede Plaza with a list of products, images, specifications, and wholesale pricing.
All prices must include a 10% margin, which represents Yede Plaza’s commission per successful transaction.
3. Order Process
When a customer places an order via Yede Plaza’s marketplace, the Supplier will be notified.
The Supplier will fulfill and dispatch the order within 2–4 business days of receiving the order confirmation.
Yede Plaza will provide the necessary customer details and delivery information.
4. Shipping and Returns
The Supplier is responsible for all shipping logistics, costs, and delivery to the customer.
The Supplier agrees to use reliable courier services and share tracking information when applicable.
Any returns, defective products, or shipping errors will be handled by the Supplier unless otherwise agreed in writing.
5. Commission and Payment Terms
The Supplier will invoice Yede Plaza (or the customer directly, as applicable) at the full listed price including shipping.
Yede Plaza shall retain 10% of the invoiced amount as commission and pay the remaining 90% to the Supplier within 7 business days after delivery is confirmed.
Payments will be made via EFT to the Supplier’s nominated South African bank account.
6. Territory
The Supplier agrees to fulfill orders for customers within Gauteng province, and may optionally fulfill orders to other provinces upon mutual agreement.
7. Term and Termination
This Agreement is valid for an initial term of 12 months from the Effective Date and renews automatically unless terminated in writing.
Either party may terminate this Agreement with 30 days’ written notice.
Immediate termination may occur upon breach of contract or failure to fulfill obligations.
8. Confidentiality and Data Protection
Each party agrees to maintain the confidentiality of customer and business data.
Both parties shall comply with the Protection of Personal Information Act (POPIA).

1. Acceptance of Terms
By registering on or using the Yede Plaza platform (the “Platform”), you (“User”, “you”, or “your”) agree to comply with and be legally bound by this User Agreement (the “Agreement”). If you do not agree to these terms, do not access or use the Platform.
2. Nature of the Platform
Yede Plaza operates as a business-to-business (B2B) marketplace that connects verified suppliers with buyers for the purpose of bulk purchasing, product discovery, and streamlined fulfillment (including dropshipping). Yede Plaza does not take ownership of goods sold.
3. User Eligibility
You must be 18 years or older and authorized to act on behalf of a registered business or entity.
You must provide accurate company, contact, and tax registration information.
We reserve the right to approve or reject any registration application at our sole discretion.
4. Account Registration and Security
You agree to provide accurate and complete information and keep your login credentials secure.
You are responsible for all activities that occur under your account.
You must notify Yede Plaza immediately if you suspect unauthorized access.
5. Use of the Platform
You agree:
To use the Platform solely for lawful commercial transactions;
Not to manipulate prices, interfere with listings, or bypass any fees;
Not to copy, modify, or distribute content unless authorized;
Not to post or transmit false, misleading, or offensive content.
6. Transactions and Fulfillment
All sales are between buyers and suppliers. Yede Plaza facilitates but does not guarantee fulfillment.
Orders placed through the platform are binding purchase requests.
Payment terms, delivery timelines, and return/refund policies are governed by the applicable supplier agreement or listing.
7. Commissions and Fees
Yede Plaza may charge commissions on sales or service fees. These will be transparently disclosed at the time of listing or transaction.
8. Returns, Disputes & Complaints
Returns, disputes, or defective goods must be reported within [7] days of receipt.
Yede Plaza may facilitate communication but is not liable for dispute resolution unless stated otherwise in writing.
Buyers and suppliers are expected to resolve complaints in good faith.
9. Intellectual Property
All content, design, logos, and trademarks on the Platform are the property of Yede Plaza or its licensors. Users may not use or reproduce these without written permission.
10. Privacy and Data Use
Your data will be processed in line with our [Privacy Policy].
By using the Platform, you consent to Yede Plaza storing and processing your information in accordance with POPIA (Protection of Personal Information Act).
11. Termination
Yede Plaza may suspend or terminate accounts for violations of this Agreement or applicable laws.
Users may terminate their account with 7 days’ written notice, provided there are no outstanding transactions or obligations.
12. Limitation of Liability
Yede Plaza is not liable for lost profits, delays, defective products, or misuse of the platform by other users.
Our liability is limited to the amount of fees (if any) paid to us in the past 3 months.
13. Indemnity
You agree to indemnify and hold harmless Yede Plaza, its directors, officers, and affiliates from any claims, damages, losses, or legal fees arising from your use of the Platform, violation of this Agreement, or breach of applicable law.
14. Changes to the Agreement
Yede Plaza reserves the right to amend this Agreement at any time. Notice will be posted on the Platform and/or sent to your email. Continued use of the Platform after changes means you accept the updated terms.
15. Governing Law
This Agreement is governed by the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts in Gauteng.
