1. Introduction

Welcome to YEDE PLAZA (Pty) Ltd (“YEDE”, “we”, “our”, or “us”), an online B2B marketplace that connects buyers with manufacturers, wholesalers, suppliers, distributors, and service providers.

By registering for an account, accessing, or using the platform, you agree to be bound by these Terms and Conditions.

2. Marketplace Services

YEDE provides a digital platform that enables:

  • Product sourcing and procurement
  • Supplier discovery and verification
  • Buyer and supplier communication
  • Order placement and payment processing
  • Escrow payment protection
  • Transaction management

YEDE acts solely as an intermediary and is not a party to transactions between buyers and suppliers.

3. User Registration

All users must:

  • Be at least 18 years of age
  • Provide accurate and complete information
  • Maintain the confidentiality of login credentials
  • Update information when changes occur

Businesses may be required to submit:

  • Company registration documents
  • Tax registration certificates
  • Proof of address
  • Identity documents of authorized representatives

4. Supplier Verification

Suppliers wishing to sell through the platform must complete the verification process.

YEDE reserves the right to:

  • Request additional documentation
  • Conduct business verification checks
  • Reject or suspend supplier accounts
  • Remove product listings that violate platform policies

5. Product Listings

Suppliers warrant that:

  • Product descriptions are accurate
  • Pricing is current and correct
  • They have authority to sell the listed products
  • Products comply with applicable South African laws and regulations

Suppliers are solely responsible for the accuracy of their listings.

6. Orders and Transactions

A binding transaction is created once:

  • A buyer submits an order;
  • Payment has been received into YEDE’s designated account; and
  • The supplier accepts the order.

All transactions are subject to availability and supplier confirmation.

7. Delivery

Suppliers are responsible for:

  • Packaging goods appropriately
  • Arranging and managing delivery
  • Providing delivery tracking information where applicable

Unless specifically stated otherwise, delivery charges are separate from the product price.

YEDE shall not be liable for delivery delays caused by suppliers, couriers, customs authorities, or force majeure events.

8. Communication Policy

All communications relating to enquiries, quotations, negotiations, and orders should be conducted through the YEDE platform.

Users may not circumvent the platform to avoid payment of applicable fees or commissions.

9. Returns and Refunds

Buyers must inspect goods upon delivery.

Claims regarding:

  • Incorrect goods
  • Damaged products
  • Defective products
  • Missing items

must be reported within seven (7) calendar days of delivery.

Refunds will be processed after:

  • Investigation of the dispute; and
  • Confirmation of the buyer’s claim where applicable.

10. Limitation of Liability

YEDE:

  • Does not manufacture products listed on the platform.
  • Does not guarantee product quality, suitability, or fitness for purpose.
  • Is not responsible for losses arising from supplier conduct, product defects, delayed delivery, or business interruption.

YEDE’s liability shall be limited to the transaction value processed through the platform.

11. Intellectual Property

All website content, trademarks, graphics, logos, software, and marketplace materials remain the exclusive property of YEDE PLAZA (Pty) Ltd unless otherwise stated.

No content may be copied, reproduced, or distributed without written consent.

12. Suspension and Termination

YEDE may suspend or terminate any account that:

  • Violates these Terms and Conditions;
  • Provides false information;
  • Engages in fraud or unlawful activity;
  • Misuses the platform.

13. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any disputes shall be subject to the jurisdiction of the South African courts.

Terms of Payment

Escrow and Commission Structure

To protect both buyers and suppliers, YEDE operates an escrow-based payment system.

Commission Rates

YEDE charges the following transaction commission:

The commission is deducted from the transaction value before payment is released to the supplier.

Buyer Payment Obligations

The buyer shall pay the full purchase price into YEDE’s designated escrow account before an order is processed.

No order will be released to the supplier until payment has been received and verified.

Supplier Payments

Following confirmation of delivery:

  • The supplier’s payment will be released.
  • Applicable commission and transaction fees will be deducted.
  • Supplier payouts will generally be processed within seven (7) to fourteen (14) business days.

Failed Deliveries

Where products are not delivered or a transaction is cancelled before fulfilment:

  • The buyer shall be entitled to a refund of amounts paid.
  • Any deductions will be subject to verification of the circumstances of the transaction.

Chargebacks and Fraud

YEDE reserves the right to delay, suspend, or reverse payments where:

  • Fraud is suspected;
  • A chargeback has been initiated;
  • Verification requirements remain outstanding;
  • A dispute is under investigation.

DROPSHIP PARTNERSHIP AGREEMENT

This Dropship Partnership Agreement (“Agreement”) is made and entered into on [Date], by and between:

Yede Plaza (PTY) Ltd, a private company incorporated under the laws of the Republic of South Africa, with its principal place of business at [Insert Address] (“Marketplace” or “Yede Plaza”),

AND

A Legal Entity incorporated under the laws of South Africa

Collectively referred to as the “Parties”.

1. Purpose

The purpose of this Agreement is to set forth the terms under which the Supplier will sell and ship products directly to customers of the Marketplace through a dropshipping arrangement. Yede Plaza will market the Supplier’s products on its platform.

2. Product Listing and Pricing

The Supplier shall provide Yede Plaza with a list of products, images, specifications, and wholesale pricing.

All prices must include a 10% margin, which represents Yede Plaza’s commission per successful transaction.

3. Order Process

When a customer places an order via Yede Plaza’s marketplace, the Supplier will be notified.

The Supplier will fulfill and dispatch the order within 2–4 business days of receiving the order confirmation.

Yede Plaza will provide the necessary customer details and delivery information.

4. Shipping and Returns

The Supplier is responsible for all shipping logistics, costs, and delivery to the customer.

The Supplier agrees to use reliable courier services and share tracking information when applicable.

Any returns, defective products, or shipping errors will be handled by the Supplier unless otherwise agreed in writing.

5. Commission and Payment Terms

The Supplier will invoice Yede Plaza (or the customer directly, as applicable) at the full listed price including shipping.

Yede Plaza shall retain 10% of the invoiced amount as commission and pay the remaining 90% to the Supplier within 7 business days after delivery is confirmed.

Payments will be made via EFT to the Supplier’s nominated South African bank account.

6. Territory

The Supplier agrees to fulfill orders for customers within Gauteng province, and may optionally fulfill orders to other provinces upon mutual agreement.

7. Term and Termination

This Agreement is valid for an initial term of 12 months from the Effective Date and renews automatically unless terminated in writing.

Either party may terminate this Agreement with 30 days’ written notice.

Immediate termination may occur upon breach of contract or failure to fulfill obligations.

8. Confidentiality and Data Protection

Each party agrees to maintain the confidentiality of customer and business data.

Both parties shall comply with the Protection of Personal Information Act (POPIA).

9. Liability

The Supplier warrants that the products sold are of good quality, compliant with South African

1. Acceptance of Terms

By registering on or using the Yede Plaza platform (the “Platform”), you (“User”, “you”, or “your”) agree to comply with and be legally bound by this User Agreement (the “Agreement”). If you do not agree to these terms, do not access or use the Platform.

2. Nature of the Platform

Yede Plaza operates as a business-to-business (B2B) marketplace that connects verified suppliers with buyers for the purpose of bulk purchasing, product discovery, and streamlined fulfillment (including dropshipping). Yede Plaza does not take ownership of goods sold.

3. User Eligibility

You must be 18 years or older and authorized to act on behalf of a registered business or entity.

You must provide accurate company, contact, and tax registration information.

We reserve the right to approve or reject any registration application at our sole discretion.

4. Account Registration and Security

You agree to provide accurate and complete information and keep your login credentials secure.

You are responsible for all activities that occur under your account.

You must notify Yede Plaza immediately if you suspect unauthorized access.

5. Use of the Platform

You agree:

To use the Platform solely for lawful commercial transactions;

Not to manipulate prices, interfere with listings, or bypass any fees;

Not to copy, modify, or distribute content unless authorized;

Not to post or transmit false, misleading, or offensive content.

6. Transactions and Fulfillment

All sales are between buyers and suppliers. Yede Plaza facilitates but does not guarantee fulfillment.

Orders placed through the platform are binding purchase requests.

Payment terms, delivery timelines, and return/refund policies are governed by the applicable supplier agreement or listing.

7. Commissions and Fees

Yede Plaza may charge commissions on sales or service fees. These will be transparently disclosed at the time of listing or transaction.

8. Returns, Disputes & Complaints

Returns, disputes, or defective goods must be reported within [7] days of receipt.

Yede Plaza may facilitate communication but is not liable for dispute resolution unless stated otherwise in writing.

Buyers and suppliers are expected to resolve complaints in good faith.

9. Intellectual Property

All content, design, logos, and trademarks on the Platform are the property of Yede Plaza or its licensors. Users may not use or reproduce these without written permission.

10. Privacy and Data Use

Your data will be processed in line with our [Privacy Policy].

By using the Platform, you consent to Yede Plaza storing and processing your information in accordance with POPIA (Protection of Personal Information Act).

11. Termination

Yede Plaza may suspend or terminate accounts for violations of this Agreement or applicable laws.

Users may terminate their account with 7 days’ written notice, provided there are no outstanding transactions or obligations.

12. Limitation of Liability

Yede Plaza is not liable for lost profits, delays, defective products, or misuse of the platform by other users.

Our liability is limited to the amount of fees (if any) paid to us in the past 3 months.

13. Indemnity

You agree to indemnify and hold harmless Yede Plaza, its directors, officers, and affiliates from any claims, damages, losses, or legal fees arising from your use of the Platform, violation of this Agreement, or breach of applicable law.

14. Changes to the Agreement

Yede Plaza reserves the right to amend this Agreement at any time. Notice will be posted on the Platform and/or sent to your email. Continued use of the Platform after changes means you accept the updated terms.

15. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts in Gauteng.
